Billing Terms

Aside from our initial thirty-minute introductory session, most deep-dive financial analysis or strategy sessions involve professional fees which will be disclosed upfront. Late balances may trigger additional administrative charges. If you request work beyond our initial agreement, supplemental billing will apply. All funds must be cleared in our account before we proceed with significant project milestones or deliverables.
Service Definition and Contractor Role
We act strictly as an independent consultant. Our engagement does not constitute a legal partnership or employer-employee dynamic. While we maintain high professional standards, we operate toward your goals without being under your direct management. Success requires your active cooperation and the provision of accurate business data to ensure our strategy is grounded in your current reality.
Ownership of Content
We retain ownership of all proprietary frameworks and tools used during our time together. You receive a non-transferable license to use custom reports created for your business once all invoices are paid. We may use data in an anonymous, grouped format for our internal research. Providing false information or violating these terms allows us to end our partnership immediately. We aim for transparency rather than litigation; however, we reserve the right to seek legal remedies in Pennsylvania if our intellectual property is misused. Contracts can be voided if critical business information is withheld by your leadership team, with all outstanding balances becoming due immediately upon the termination of the project.
Data Privacy
We both commit to protecting sensitive data shared during our partnership. Neither party will disclose proprietary information to outside entities without written approval, unless legally compelled to do so by a court of law or government agency.

Hold Harmless
You agree to protect ROSERO CONSULTING LLC and its staff from legal claims or costs arising from your breach of this agreement or your misuse of the advice provided. This includes covering legal fees incurred by our firm while defending against such claims caused by your actions or business decisions.
Governing Law
These conditions are governed by the laws of Pennsylvania. Any legal proceedings related to our services must take place in the state or federal court system of Pennsylvania.
Termination
We may halt services if these terms are violated. If a contract is cancelled early due to client non-cooperation, a fee equal to half of the remaining contract value will apply to compensate for lost opportunity. For instance, if an ABC company signs for $20,000 and the relationship fails due to their lack of communication with ten months left, we would calculate the monthly rate and charge for five months of that time. This ensures our consultants are compensated for the time reserved for your business that could have been allocated to other clients. These examples are for illustration and do not constitute a formal quote for your specific consulting project or needs.
